JERA Lifts Wheatstone LNG Vehicle Stake to 50.1%
JERA bought out JOGMEC in the holding company behind Wheatstone LNG. The plant and its gas are unchanged; control of the vehicle is not.
JERA's purchase of JOGMEC's stake in Pan Pacific Energy lifts its holding to 50.1% but adds no LNG supply. The vehicle's 10% upstream and 8% liquefaction interests in Chevron-operated Wheatstone LNG are unchanged, according to Offshore Technology. The deal shifts control of a Japanese holding company, not volumes of gas.
The Gulf Barrel Desk · 3 min read- Offshore Technology reports JERA completed the purchase of all JOGMEC shares in Pan Pacific Energy on 2 October 2026, lifting its holding to 50.1%.
- Baird Maritime, citing Reuters, reports JOGMEC's block at 42.08% and JERA's prior holding at 8.02%; financial terms were not disclosed.
- The vehicle's subsidiary keeps a 10% upstream and 8% liquefaction interest, so the 50.1% is not a direct share of the plant.
- Offshore Energy reports JERA sources roughly 5.2 mtpa from Wheatstone; the transaction adds no new supply.
- Watch for the undisclosed price and any similar JOGMEC exits. Neither is reported yet. This is analysis, not trading advice.
JERA now holds a majority of the Japanese vehicle that invests in Wheatstone LNG, but the plant, the gas and the project interests have not changed. Offshore Technology reports the deal closed on 2 October 2026. No JERA or JOGMEC release was found for this piece, so the figures below rest on trade-press reports and one Reuters report carried by Baird Maritime. Treat them as secondary-source. This is analysis, not trading advice.
What changed hands
Offshore Technology reports that JERA bought all shares held by JOGMEC in Pan Pacific Energy, raising its holding to 50.1%. Baird Maritime, citing Reuters, puts JOGMEC's block at 42.08% and JERA's earlier stake at 8.02%, and says terms were not disclosed. Mitsubishi and NYK Line remain shareholders, per Offshore Technology. The transaction therefore moves ownership of a holding company among Japanese investors rather than moving any share of the plant itself.
Why 50.1% is not a direct stake
The 50.1% describes JERA's share of Pan Pacific Energy, not of Wheatstone. Offshore Technology reports that the vehicle's subsidiary, PE Wheatstone, keeps a 10% stake in the offshore upstream gas development and 8% in the onshore liquefaction venture. JERA's look-through interest in the project is therefore smaller than the headline figure. The sources give no calculation of that interest, so any estimate here would be our own arithmetic, not a reported number.
The supply link to a major Japanese buyer
Offshore Technology describes Wheatstone as a Chevron-operated project with two trains and 8.9 mtpa of combined capacity, approved in 2011 with first LNG shipped in October 2017. Offshore Energy reports that JERA sources roughly 5.2 mtpa from it. That offtake figure is outlet-reported and not confirmed by JERA data we could see. If accurate, the buyer already depends on the plant, so the equity move aligns ownership with an existing supply relationship.
What JERA says and what to watch
Offshore Technology quotes Irtiza Sayyed, JERA's Senior Managing Executive Officer and JERA Global Energy Solutions CEO, as saying: "Reliable LNG supply is fundamental to energy security." That is a company statement of intent, not evidence of new volumes. Open questions are the undisclosed price and whether JOGMEC redeploys the proceeds into other upstream or LNG positions. Neither is reported, and further JERA equity moves have not been announced.
- What did JERA buy and when?
- Offshore Technology reports that JERA completed the purchase of all shares held by JOGMEC in Pan Pacific Energy on 2 October 2026, raising its holding to 50.1%. Financial terms were not disclosed, per Baird Maritime.
- Does JERA now own half of Wheatstone LNG?
- No. The 50.1% is in Pan Pacific Energy, the holding vehicle. Its subsidiary PE Wheatstone keeps a 10% stake in the upstream gas development and 8% in the onshore liquefaction venture, per Offshore Technology.
- Does the deal add LNG supply to the market?
- No. Offshore Technology says the underlying project interests are unchanged. The plant's capacity of 8.9 mtpa and JERA's reported offtake of about 5.2 mtpa (an outlet-reported figure) were already in place.
